What is a Confirmation Statement?

A confirmation statement is a document that UK limited companies are required to file annually with Companies House to confirm certain information about their company. It replaced the annual return in 2016.

The confirmation statement includes details such as the company’s registered office address, the names and addresses of its directors and secretary (if applicable), its shareholders, and the nature of its business activities. It also includes information about any changes that have occurred since the last confirmation statement was filed, such as changes to the company’s officers, registered office address or shareholder details.


The purpose of the confirmation statement is to ensure that Companies House has up-to-date and accurate information about the company, which is important for maintaining the public record of companies registered in the UK.

Failure to file the confirmation statement on time can result in fines and penalties for the company and its officers.
